Terms of Service

These Terms of Service ("Terms") govern your use of the Nidan Lab Information System and related services (collectively, "Nidan", "the Service") provided by the Nidan team ("we", "us", "our"). By creating an account, accessing, or using the Service, you ("Customer", "you") agree to be bound by these Terms.
1. Acceptance and eligibility
You may use Nidan only if you can form a binding contract under applicable Indian law and are authorised to do so on behalf of the laboratory or organisation you represent. By signing up you confirm that the information you provide is accurate and that you will keep it up to date.
2. The Service
Nidan is a software-as-a-service platform that helps pathology laboratories manage the lab order lifecycle — catalog, requests, specimens, results, reports, billing, dashboards, analytics, and quality systems. The features available to you depend on the subscription plan you select.
We continuously improve Nidan. We may add, change, or retire features at our discretion. Where a change materially reduces functionality you actively use, we will give you reasonable prior notice.
3. Your account
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- Each named user must have their own login. Sharing accounts across users is not permitted.
- You must notify us promptly at security@nidan.in if you suspect unauthorised access.
4. Subscription, fees, and taxes
Access to Nidan is provided on a subscription basis. Subscription fees, billing frequency, and any usage limits are as set out in the order form, plan page, or quote applicable to you.
- All fees are exclusive of GST and other applicable taxes, which will be added to your invoice.
- Invoices are payable within the period stated on the invoice. Late payments may attract interest and may lead to suspension of the Service.
- Subscription fees are non-refundable except where expressly stated, where required by law, or where Nidan terminates these Terms without cause.
5. Acceptable use
You agree not to:
- Use Nidan in violation of any applicable law, including laws relating to medical practice, clinical laboratories, accreditation, and personal data protection.
- Upload content you do not have the right to upload, including patient data without lawful basis to process it.
- Attempt to reverse-engineer, decompile, or extract the source code of the Service, except to the extent permitted by law.
- Probe, scan, or test the vulnerability of the Service without our prior written consent.
- Use the Service to send unsolicited bulk communication or any malicious code.
6. Customer data and ownership
You retain all rights, title, and interest in the data you submit to Nidan ("Customer Data"), including catalog data, patient records, lab orders, results, and reports. We do not sell your Customer Data, and we do not use it to train third-party machine-learning models.
You grant us a limited, non-exclusive licence to host, process, and transmit Customer Data solely as required to provide the Service to you, to provide support, and to comply with legal obligations.
7. Patient data and DPDP Act
You are the Data Fiduciary in respect of patient personal data and sensitive personal data processed through Nidan. We act as your Data Processor and process such data only on your documented instructions, except where applicable law requires otherwise. The technical and organisational measures we apply are described in our Privacy Policy.
8. Availability and support
We aim for a target monthly uptime of 99.9% for the Nidan production service, excluding scheduled maintenance announced in advance. Support channels and response targets applicable to your plan are listed on the pricing page.
9. Security
- Customer Data is encrypted in transit and at rest.
- Production data is hosted in India.
- Access to Customer Data by Nidan personnel is role-based and audited.
- We will notify you of a personal-data breach affecting your Customer Data without undue delay and in line with the DPDP Act and other applicable law.
10. Intellectual property
Nidan, including its software, design, logos, and documentation, is and remains our exclusive property. These Terms do not grant you any right in our intellectual property other than the limited right to use the Service as described.
11. Confidentiality
Each party will protect the other's confidential information with at least the same care it uses to protect its own confidential information of like importance, and in any case with reasonable care, and will only use such information for the purpose of these Terms.
12. Termination
You may cancel your subscription at any time from your account settings or by writing to hello@nidan.in. We may suspend or terminate the Service if you materially breach these Terms and fail to remedy the breach within fifteen (15) days of written notice.
On termination, your right to use the Service ends immediately. We will retain your Customer Data for ninety (90) days after termination so that you can export it, after which we will delete it from our production systems.
13. Warranties and disclaimers
We provide the Service with reasonable care and skill. To the maximum extent permitted by law, the Service is provided on an "as is" basis. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement or expectation. Nidan is a tool to support your laboratory operations and is not a substitute for the professional judgement of your pathologists, clinicians, or quality team.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or in connection with these Terms will not exceed the fees you paid us in the twelve (12) months immediately before the event giving rise to the claim.
15. Indemnification
You will indemnify us against third-party claims arising out of (a) Customer Data processed in breach of applicable law, (b) your use of the Service in violation of these Terms, or (c) your products or services offered to your patients or third parties.
16. Changes to these Terms
We may update these Terms from time to time. Where a change materially affects your rights, we will notify you in advance through the Service or by email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
17. Governing law and disputes
These Terms are governed by the laws of India. The courts at [City], India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to either party's right to seek interim relief from any court of competent jurisdiction.
